The Management Board and Supervisory Board of TVN S.A. are committed to ensuring that our corporate governance is transparent and meets both Polish and international standards.


In 2007 a new set of Warsaw Stock Exchange Best Practices of WSE Listed Companies was introduced. New Best Practices entered into force on 1 January 2008. We comply fully with these best practices.


According to athe new Decree of the Minister of Finance dated February 19, 2009 on current and periodic information to be published by issuers of securities our report concerning compliance with Best Practices of WSE Listed Companies in 2009 is a part of TVN's Annual report.


In accordance with Polish corporate law, the decision - making process is conducted through the General Meeting of Shareholders, a Supervisory Board and a Management Board. The powers and responsibilities of these governing bodies, as well as their mutual relations, are defined by the Polish Companies Commercial Code, TVN’s Articles of Association and the Supervisory Board’s and the Management Board’s respective internal rules of procedure.


We encourage our Shareholders to play an active role in the Company’s corporate governance and their consent is required for key decisions including: the review and approval of the annual report and accounts; the election of the members of the Supervisory Board and, if necessary, their dismissal; amendments to the Articles of Association; the raising of capital; and the redemption of shares.


At our General Meetings, each share has one vote. In addition to their participation in General Meetings, members of the Company’s Management Board and senior executives engage in active dialogue with the Company’s shareholders. To ensure that the investing community receives a balanced view of the Company’s performance, Management Board members – led by the President of the Management Board and the Chief Financial Officer – also make regular presentations to institutional investors and representatives of the domestic and international financial community.


We regularly inform our shareholders, financial analysts and the media of any significant changes in our business. Throughout the year, the Company’s Investor Relations team responds to enquires from shareholders and ensures that the Company’s financial results and investor presentations are readily available from the Company’s internet website.
